Ethical issues have posed major challenges to companies in recent years and there will undoubtedly be more in the future. Good ethical practices may not be easy to maintain. However, with a well-designed ethics policy, ethical leadership and implementing ethics into organizational strategies and processes, it will make it easier It is the responsibility of particular individuals within the organization, i.e. it leadership. Strong leaders model and pass on ethical aspects of the culture and use techniques like structure, decision-making processes, rewards, norms, heroes, stories, rituals and other artifacts to create a strong culture. This is the foundation for creating a culture of character, where members of the organization "know what is right, value what is right, and do what is right. Methods for managing organizational culture to enhance ethics have been explored and suggestions for creating an ethical organizational culture have been briefly presented. In all cases, management must be committed to ethical conduct.

(1) the existence of a set of core ethical values infused throughout the organization in its policies, processes, and practices; (2) the establishment of a formal ethics program, including a code of ethics, ethics training, an ethics hotline, and an ethics officer; and (3) the continuous presence of ethical leadership, that is, an appropriate tone at the top as reflected by the board of directors, senior executives, and managers.

How to you develop and maintain an ethical corporate culture? It is easier to introduce new regulations and processes than it is to address the tricky business of culture change, but it is the latter that makes for an ethical organisation. As we have seen in recent years, corporate wrongdoing and scandals can wipe millions off the value of businesses, as well as wreck reputations that have taken decades to build. Many of the corporate scandals reported by the media are related to accounting malpractice. There are a number of other practices that are not uncommon in the organisational world that should also be a cause for concern. Over-selling, making false claims, allowing others to operate under incorrect assumptions and bullying are all ethical issues that are not uncommon in organisations today. These are all issues that senior management and HR can struggle with because they are often hidden, hard to detect and yet, can have a very negative impact upon employees and customers alike. Ethical organisations are characterised by leaders who role model integrity, open and honest communication, an atmosphere where people speak up about wrongdoing and a pride in high ethical standards. Despite the evidence that it is culture that counts, leaders usually try to build ethical cultures by putting the emphasis on compliance, procedures, rules and regulations. It is easier to introduce new regulations and processes than it is to address the tricky business of culture change, but it is the latter makes for an ethical organisation.

Of all the issues boards of directors, executives, and managers face, one could argue that unethical corporate activity is one of the most significant in terms of its potential negative impact and also one of the most difficult to properly address. This article argues that three key elements must exist if illegal or unethical activity within and on behalf of organizations is to be minimized through developing and sustaining an ethical corporate culture. **The three elements include:** (1) the existence of a set of core ethical values infused throughout the organization in its policies, processes, and practices; (2) the establishment of a formal ethics program, including a code of ethics, ethics training, an ethics hotline, and an ethics officer; and (3) the continuous presence of ethical leadership, that is, an appropriate tone at the top as reflected by the board of directors, senior executives, and managers. While each of these three elements is distinct, they also overlap, relate to, and reinforce each other. This article discusses each of the three key elements necessary to develop and maintain an ethical corporate culture.
