Procedure for Private Limited Company Registration
Slight changes has been done in the old registration procedure. The recent procedure is as follows:
- Reservation of Name
Before making an application to incorporate, the name of the company shall be reserved. An Application in e-Form RUN for Reservation of Name of Private Limited Company shall be made by making payment of requisite fees. Following are the guidelines to consider while choosing and applying for the name:
- It should be easy to remember as well as easy to spell
- It shall be able to provide a distinct identity to the company
- It should be short & simple
- It should not contain any word as opposed to public policy or prohibited
- It should not be similar to identical to any company/ LLP registered or infringe trademark registered.
The application for name reservation shall contain maximum 6 names, out of which the registrar approves any one of them or give remarks and may ask to provide additional names. The registrar shall reserve the name for a period of 60 days once the application is approved.
- Obtain Digital Signature Certificate:
The first step is DSC registration in Private Limited Company Incorporation. The DSC is required for filling e-forms on online portal of MCA. Digital Signature Certificate also known as DSC, is valid for 1 or 2 years and issued by the Certifying Authority.
Documents for Digital Signature Certificate:
- Passport size photograph of the applicant
- Self-attested Address proof of the applicant
- Self-attested PAN card of the applicant.
- Certificate of Incorporation, DIN, PAN & TAN
After reservation of the name for proposed company by submitting form, the application for issuance of DIN, PAN, TAN, Certificate of Incorporation shall be made through one form Simplified Proforma for Incorporating Company Electronically (SPICe) forms.
Private Limited Company is a successful business type. Minimum two persons can promote a Private Limited Company. There can be minimum two and maximum two hundred members of a Private Limited Company. Perpetual succession, separate judicial entity, greater stability etc are some of the main features of a Private Limited Company. Larger businesses prefer dealing with a Private Limited Company than with a Proprietorship or a Partnership Firm.
The process of registering a private limited company:
1. Obtain DSC
Obtaining Digital Signature Certificate (DSC) is the first step towards Company Registration. It take 2 days to obtain DSC.
2. Apply for DIN
Directors Identification Number (DIN) is to be applied for all the proposed Directors of the Company. It takes 1 day to get DIN Approval.
03. Name Approval
Maximum six names can be applied in order of preference. It takes 3-4days for Name Approval subject to availability of name.
Company Registration documents are submitted to the MCA for approval in SPICe forms. PAN and TAN are also applied with the application.
