**CONDITIONS FOR ISSUE OF SHARE WARRANT** Only public limited companies can issue share warrants , private limited companies cannot issue share warrants. A share warrant is only issued against share certificate of fully paid up shares. There must be provision in the articles of association regarding the issue of share warrant.. Prior permission from Central Government is necessary for the issue of share warrant. Share warrant is not issued originally at the time of initial issue. Thanks

Dear Uma, > Condition for issue of share warrants **Section 114** lays down the following provisions for the issue of share warrants: (1) Only a public company limited by shares can issue share warrants. (2) Share warrants cannot be issued originally. Only share certi¬ficates for fully paid shares can be converted into share warrants. (3) The articles of association must authorize the issue of share warrants. (4) Approval of Central Government must be obtained for issuing share warrants.
