HIII As per the LLP act and Companies act 2013, the LLP is not authorised to issue any debenture to the public. LLP is same just like partnership firm the difference is only this is regulated by the ministry of corporate affairs and the personal liability of all the partner is limited to their contribution only.

**LLP** LLP is Limited Liability Partnership LLP cannot issue debentures to raise capital . they do not have right to do so. Its a partnership form in which partners have limited liabilities From taxation point of view LLP is treated like any other partnership firm. LLP is a body corporate and a legal entity separate from its partners. It will have perpetual succession No requirement of minimum capital To start an Limited Liability Partnership at least 2 members are required initially but there is no limit on the maximum number of partners.

Dear Uma, As per the LLP act and Companies act 2013, the LLP is not authorised to issue any debenture to the public. LLP is same just like partnership firm the difference is only this is regulated by the ministry of corporate affairs and the personal liability of all the partner is limited to their contribution only.
